Terms of Use

Scope and Acceptance

These Terms of Use (“Terms”) govern the relationship between RxCure (Precise Life Science Pvt. Ltd.) and Retailers using the RxCure mobile application/website (“Platform”) to purchase Goods.

Use of the Platform constitutes acceptance of these Terms. If you do not agree, you must discontinue use immediately.

Definitions

Retailer / Buyer

 : A licensed business entity authorized to purchase Goods from RxCure.

Goods / Products

 : Pharmaceuticals, OTC, surgical, wellness, and related products listed on the Platform.

Credit Facility

 : Deferred payment option provided to eligible Retailers at RxCure’s discretion.

Platform

 : The RxCure mobile application, website, and related systems.

Authorized User

 : Representative(s) of the Retailer operating the account.

Force Majeure

 : Events beyond reasonable control including natural calamities, pandemics, transport strikes, or regulatory restrictions.

Applicable Laws

 : Laws in India including the Drugs & Cosmetics Act, Pharmacy Act, GST laws, IT Act, and related regulations.

 

 

Eligibility & KYC

  • Retailers must be legally registered in India.
  • Mandatory documents: Drug License, GSTIN (optional), PAN, Business Registration,etc
  • RxCure reserves the right to verify, suspend, or terminate accounts if KYC is invalid, expired, or non-compliant.

Account & Authorized Users

  • Only duly authorized representatives may operate the Retailer account.
  • Retailer is solely responsible for safeguarding login credentials.
  • RxCure will not be liable for unauthorized use arising from Retailer’s negligence.

Orders & Acceptance

  • Orders placed are considered offers. RxCure accepts only upon invoice generation.
  • RxCure may reject or partially fulfill orders due to stock unavailability, regulatory compliance, or invalid documents.
  • Orders once dispatched cannot be canceled except under Return Policy.

Pricing, Payments & Credit

  • All prices are exclusive of GST unless otherwise specified.
  • Discounts/schemes are subject to change without prior notice.
  • Accepted payment modes: Prepaid (UPI, net banking, card), COD (if enabled), Credit Facility.
  • Credit Facility (if granted) will be subject to repayment within Net 15/30 days; overdue payments attract interest at [X% per month].
  • RxCure reserves the right to suspend supply if dues are unpaid.

Delivery, Title & Risk

  • Delivery timelines are indicative. RxCure is not liable for delays due to courier/logistics issues or Force Majeure.
  • Title and risk transfer upon delivery to Retailer or its nominated transporter.
  • Retailer must inspect shipments immediately and report discrepancies within 48 hours.

Retailer Obligations

  • Maintain valid licenses and comply with Indian drug regulations.
  • Store and resell Goods in accordance with law.
  • Prohibit diversion, black marketing, or unauthorized exports.
  • Maintain purchase and resale records for audit.

Returns & Refunds

Returns governed by RxCure Return Policy. Only eligible returns will be accepted.

 

Intellectual Property & Confidentiality

  • All Platform content and trademarks belong to RxCure.
  • Retailers may use the Platform solely for placing orders.
  • Business and technical information exchanged must remain confidential.

Indemnity

Retailer agrees to indemnify RxCure against claims, losses, or damages arising from:

  • Misuse of products;
  • Breach of Applicable Laws;
  • Regulatory penalties due to Retailer’s conduct.

Limitation of Liability

RxCure’s maximum liability is limited to the value of the disputed order. RxCure is not liable for indirect or consequential damages.

Termination & Suspension

  • RxCure may suspend or terminate accounts for overdue payments, invalid KYC, fraudulent practices, or regulatory non-compliance.
  • Upon termination, all dues become immediately payable.

Governing Law

These Terms are governed by Indian law. Courts in Bangalore, Karnataka have exclusive jurisdiction.
