1. Introduction & Acceptance

These Terms of Use (“Terms”) constitute a legally binding agreement between:

  • Precise Life Science (“Company”, “RxQure”, “We”, “Us”), and
  • The Retailer / Buyer (“You”, “Your”), being a registered business entity using the Platform.

By accessing or using RxQure, you:

  • Agree to be bound by these Terms;
  • Confirm that you are legally eligible to enter into binding contracts;
  • Undertake to comply with all applicable Indian laws and regulations.

If you do not agree, you must not use the Platform.

2. Definitions

Purchase request placed via the Platform

Tax invoice issued confirming order acceptance

Credit Facility

Deferred payment terms granted by RxQure

Authorized User

Person authorized to operate the Retailer account

Applicable Laws

Includes Drugs & Cosmetics Act, GST laws, IT Act, Pharmacy Act

Force Majeure

Events beyond control such as natural disasters, strikes, lockdowns

3. Nature of Platform

  • RxQure is a B2B procurement platform for licensed retailers.
  • It is not intended for end consumers.
  • RxQure does not provide medical advice or prescription services.

4. Eligibility & Registration

4.1 Eligibility

You must:

  • Be a registered business entity in India
  • Hold a valid Drug License (Retail/Wholesale)
  • Possess GSTIN and PAN

4.2 KYC & Verification

You agree to provide accurate documents including:

  • Drug License
  • GST Registration
  • PAN
  • Business Registration
  • Bank details

RxQure reserves the right to:

  • Verify all documents
  • Suspend accounts with invalid/expired licenses
  • Request additional compliance information

4.3 Account Responsibility

  • Retailer is responsible for all activities under the account
  • Login credentials must be kept secure
  • Unauthorized access must be reported immediately

5. Orders & Contract Formation

5.1 Order Placement

  • Orders placed are offers to purchase

5.2 Acceptance

  • Order is accepted only when invoice is generated

5.3 Modification & Cancellation

  • Allowed only before dispatch
  • After dispatch, governed by Return Policy

5.4 Partial Fulfillment

  • RxQure may supply orders partially due to stock availability

6. Pricing & Payments

6.1 Pricing

  • Prices are exclusive of GST unless stated
  • Subject to change without prior notice

6.2 Payment Methods

  • UPI / Net Banking / Cards
  • COD (if available)
  • Credit Facility (if approved)

6.3 Credit Facility

  • Provided at RxQure’s discretion
  • Terms: Net 15 / Net 30 days
  • Interest: [Insert % per month] on overdue payments
  • RxQure may suspend supply for non-payment

6.4 Payment Allocation

Payments will be adjusted in order:

  1. Interest
  2. Oldest outstanding invoices
  3. Current dues

7. Delivery, Title & Risk

  • Delivery timelines are indicative
  • Risk transfers upon delivery
  • Retailer must inspect goods immediately
  • Issues must be reported within 48 hours

8. Returns & Cancellation

  • Governed by RxQure Return Policy
  • No cancellation after dispatch except as per policy

9. Retailer Obligations

Retailer agrees to:

  • Maintain valid licenses
  • Store products as per regulatory standards
  • Sell prescription drugs only against valid prescriptions
  • Avoid illegal resale, diversion, or export
  • Maintain proper records for audit

 

10. Regulatory Compliance

Retailer must comply with:

  • Drugs & Cosmetics Act, 1940
  • Pharmacy Act, 1948
  • GST laws
  • Other applicable regulations

RxQure reserves the right to audit compliance.

11. Intellectual Property

  • All Platform content and software belong to RxQure
  • Retailer receives limited usage rights only
  • Unauthorized use is prohibited

12. Confidentiality

Retailer shall not disclose:

  • Pricing
  • Trade terms
  • Business data

13. Indemnification

Retailer agrees to indemnify RxQure against:

  • Legal violations
  • Misuse of products
  • Customer claims
  • Regulatory penalties

14. Limitation of Liability

  • Liability limited to order value
  • No liability for indirect or consequential losses

15. Suspension & Termination

RxQure may suspend/terminate accounts for:

  • Non-payment
  • Fraud
  • Invalid KYC
  • Regulatory violations

All dues become immediately payable.

16. Force Majeure

RxQure is not liable for delays due to:

  • Natural disasters
  • Lockdowns
  • Transport disruptions
  • Government restrictions

17. Data & Privacy

Use of Platform is subject to RxQure Privacy Policy.

18. Dispute Resolution

  • Step 1: Customer Support
  • Step 2: Escalation
  • Step 3: Arbitration

19. Amendments

RxQure may update these Terms anytime. Continued use means acceptance.
